    Part I — Privacy Policy

    1. Who We Are

    PRSPER LLC, doing business as PRSPER ("PRSPER," "we," "us"), operates prsper.ai and provides microsite, booking, and commerce tools for independent sellers. We are the controller of the personal information described in this Policy. Contact: legal@prsper.io.

    2. PRSPER Data vs. Seller Data

    We collect data to run PRSPER. Sellers collect their own data through their microsites, including any analytics they configure (such as a seller's own Google Analytics ID); each seller is responsible for its own data practices. Contact sellers directly about their data.

    3. Information We Collect & How We Use It

    We collect information you provide (name, email, phone, payment details processed by Stripe — we do not store full card numbers) and automatic data (IP address, device, pages viewed) via cookies. We use it to operate the services, process transactions, provide support, and — with consent where required — advertise. Sellers see only aggregate counts, never identifying visitor data.

    4. Cookies, Analytics & Advertising

    We use Google Analytics and Google Ads to analyze traffic and deliver and measure advertising. Google may set cookies and receive usage data as described in Google's Privacy Policy (policies.google.com/privacy).

    Where required by law (including the EU/EEA and UK), non-essential cookies and tags load only after you give consent through our cookie banner, and you may withdraw consent at any time through the banner's settings. Sellers who add their own analytics to their microsites are responsible for those tools; where technically supported, seller tags are gated behind the same consent banner.

    5. Sharing

    We share personal information only with: service providers acting on our instructions (e.g., hosting, email/SMS delivery, Stripe for payments, Google for analytics and advertising); our affiliates; parties to a merger, acquisition, or asset sale; and authorities where legally required. We do not sell personal information for money. Use of Google advertising cookies may constitute "sharing" for cross-context behavioral advertising under California law; you may opt out by emailing legal@prsper.io as described in Section 7.

    6. SMS & Email

    We send service-related email and SMS (e.g., booking confirmations). Marketing messages are sent only with your express opt-in consent, collected at signup or in settings; reply STOP to opt out of SMS. Message and data rates may apply.

    7. Your Privacy Rights

    Depending on where you live, you may access, correct, delete, or receive a copy of your personal information, restrict or object to processing, and withdraw consent. We process data under applicable legal bases, including consent and contract. To exercise rights, email legal@prsper.io; we respond within the time required by applicable law (generally 30–45 days) and may verify your identity first. EU/EEA and UK residents may complain to their supervisory authority.

    California residents: you may know, correct, delete, and opt out of the "sharing" of personal information for cross-context behavioral advertising, without discrimination. To opt out, email legal@prsper.io with the subject "Do Not Sell or Share My Personal Information."

    8. Retention, Security & Transfers

    We keep personal information only as long as needed or legally required, then delete or de-identify it, and use reasonable safeguards. We are U.S.-based; data is processed in the United States, with Standard Contractual Clauses where required. Our services are not directed to children under 13, and we do not knowingly collect their data.

    Part II — Terms of Service

    9. Acceptance

    By creating an account or using PRSPER, you agree to these Terms and the Privacy Policy above. If you use PRSPER on behalf of a business, you represent you are authorized to bind it.

    10. Independent Sellers & Transactions

    PRSPER provides technology that enables independent professionals and businesses (such as barbers, salons, studios, and event organizers) to manage bookings, sell products or tickets, and collect payments via third-party processors such as Stripe. Each seller operates as an independent business and is solely responsible for its pricing, transactions, taxes, refunds, chargebacks, customer data practices, and compliance with applicable laws. PRSPER is not a party to any transaction between sellers and their customers, does not handle or control funds on behalf of sellers, and is not liable for disputes, losses, or damages arising from sellers' independent business activities.

    11. Seller Content & Responsibilities

    Sellers are solely responsible for all content they upload, display, or sell through PRSPER, and represent that they own or have all necessary rights to such content and that it and their business comply with applicable law. PRSPER may review content solely for style and brand-quality standards; such review is not an endorsement, legal review, or verification of any content. PRSPER may remove any content or terminate any account at its sole discretion. Sellers who configure their own analytics or tracking on their microsites are solely responsible for the lawful use of those tools, including obtaining any visitor consents required in their jurisdiction.

    12. Copyright (DMCA)

    We respond to notices under the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe content on our platform infringes your copyright, send a notice to our designated agent (DMCA Agent, PRSPER LLC, 30 N Gould St, Ste 61029, Sheridan, WY 82801; email dmca@prsper.io) including: (1) identification of the copyrighted work; (2) the URL of the allegedly infringing material; (3) your contact information; (4) a statement of good-faith belief that the use is unauthorized; (5) a statement, under penalty of perjury, that the notice is accurate and you are authorized to act for the copyright owner; and (6) your physical or electronic signature.

    Upon receipt of a valid notice, we will remove or disable access to the material and notify the seller. Sellers may submit a counter-notice under § 512(g); we will forward it to the complainant and may restore the material in 10–14 business days unless the complainant files a court action. We terminate the accounts of repeat infringers.

    13. Acceptable Use

    You may not use PRSPER for unlawful, fraudulent, infringing, or deceptive activity; to sell prohibited goods or services; to send spam; or to interfere with or attempt to circumvent the security of the services.

    14. Disclaimers

    The services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.

    15. Limitation of Liability

    To the maximum extent permitted by law, PRSPER is not liable for indirect, incidental, consequential, special, or punitive damages, or lost profits, data, or goodwill. Our total liability for any claim is limited to the greater of $100 or the amounts you paid us in the 12 months before the claim arose. Some jurisdictions do not allow certain limitations; in those, our liability is limited to the fullest extent permitted.

    16. Indemnification

    You agree to indemnify and hold PRSPER harmless from claims arising from your content, your configured tracking or analytics, your business operations, or your violation of these Terms or applicable law.

    17. Dispute Resolution & Arbitration

    Any dispute arising from these Terms or the services shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in the county where you reside or remotely by video. The arbitrator, and not any court, has exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of it is void or voidable. You and PRSPER each waive the right to a jury trial and to participate in a class action. Either party may bring qualifying claims in small-claims court. You may opt out of arbitration by emailing legal@prsper.io within 30 days of first accepting these Terms. These Terms are governed by Wyoming law, without regard to conflict-of-law rules; mandatory consumer protections of your home state remain unaffected.

    18. Changes; Termination

    We may update these Terms and this Policy. For material changes, we will provide notice (e.g., email or in-product) before the changes take effect; continued use after the effective date constitutes acceptance. We may suspend or terminate the services at any time. Sections 10–17 survive termination.
